    • “includes” and “including” means including without limiting the generality of the foregoing;

    • “Third Party Sites” means websites which are owned, maintained or controlled by third parties (and not by the Clinic) to which links are provided from this Site;
    • “use” includes access, viewing or copying, whether in whole or in part;
    • captions and headings are inserted for convenience only, and are not to be used as an aid in the interpretation of these Terms and Conditions of Use.

  1. Changes to Terms and Conditions of Use

    Changes may be made by the Clinic to these Terms and Conditions of Use at any time by updating this posting. We strongly recommend that you review these Terms and Conditions of Use regularly, and your continued use of this Site means that you agree to any changes made. Notice of such changes may be given to you whether on this Site or separately, but the failure to give such notice does not relieve you of any responsibility to review these Terms and Conditions of Use or from being bound by the provisions of these Terms and Conditions of Use as amended.

  2. Proper Law

    This Site and its content are administered by the Clinic from its offices in Winnipeg, Manitoba, Canada. This Site, its content, these Terms and Conditions of Use and your use of this Site are all governed by the laws of the Province of Manitoba and the laws of Canada as applicable therein, without giving effect to any conflict of laws principles. You agree that all questions and disputes regarding this Site and your use thereof will be decided exclusively by the courts of the Province of Manitoba.

    These Terms and Conditions of Use shall apply and be enforceable worldwide. To the extent that Users access this Site from jurisdictions outside Canada, including the United States or the European Union or elsewhere, such access is undertaken at the User’s own initiative, and the User is responsible for compliance with all applicable local laws. Nothing in these Terms shall limit the Clinic’s right to seek enforcement, injunctive relief, or remedies in any jurisdiction where unauthorized use, including AI-related misuse, occurs or has effects.
  3. No improper use

    This Site and its content may be used only for the limited purposes described in these Terms and Conditions of Use. You will not make or attempt to make any other use thereof. You will not abuse in any way this Site and you will not, and will not attempt to, modify this Site or any of its content, or disrupt or interfere with the availability or operation of this Site.

    Artificial Intelligence Restrictions
    For greater certainty, improper use includes any use of this Site or its content in connection with artificial intelligence tools or systems as described below.
    Without limiting any other restrictions set out in these Terms and Conditions of Use, you expressly agree that you shall not, directly or indirectly, copy, reproduce, upload, transmit, scrape, crawl, harvest, input, index, analyze, summarize, modify, store, distribute, or otherwise use any text, images, data, documents, metadata, or other content from this Site in connection with any artificial intelligence, machine learning, automated decision-making, or similar computational systems (collectively, “AI Systems”).
    This prohibition applies to all AI Systems, whether now known or later developed, including without limitation natural language processors, large language models, chatbots, generative or predictive systems, or data-mining technologies, including but not limited to ChatGPT, Microsoft Copilot, or similar platforms.
    All content made available on this Site is proprietary and protected by applicable intellectual property and copyright laws. The limited license granted under these Terms does not include any right to use the Site or its content for purposes of training, fine-tuning, prompting, feeding, embedding, benchmarking, or otherwise interacting with any AI System.
    No license, consent, authorization, or permission — whether express, implied, statutory, or otherwise — is granted or shall be deemed granted for any AI-related use. Any such use constitutes an unauthorized use, a material breach of these Terms and Conditions of Use, and an infringement of the Clinic’s proprietary rights.

    Injunctive Relief and Remedies
    You acknowledge and agree that any breach or threatened breach of the foregoing restrictions will cause irreparable harm to the Clinic for which monetary damages alone would be an inadequate remedy. Accordingly, the Clinic shall be entitled, without the requirement to post any bond(s) or prove actual damages, to seek immediate injunctive relief, specific performance, and any other equitable relief available under applicable law, in addition to all other remedies available at law or in equity.
    The Clinic’s rights and remedies under these Terms are cumulative and not exclusive, and the failure to exercise any right or remedy shall not constitute a waiver thereof.
    Our Use of Electronic Communications and Artificial Intelligence in Our Work
    To provide timely, cost-effective, and high-quality legal services, we may use electronic communications and modern technologies — including email, secure client portals, and portable devices — for managing our work, documents and communications.
    We may also use artificial intelligence (AI) tools to assist us with such us with such tasks as well as legal research, drafting, analysis, and document review. These tools help improve efficiency and turnaround time, but they do not replace the expertise or judgment of our legal professionals. All legal work remains under the supervision of qualified lawyers who are responsible for its accuracy and appropriateness.
    By using this website, or submitting an online intake form, you are deemed to agree with the above. Should we agree to provide you with information and services as a client of the Clinic, you will be requested to sign a Limited Scope Terms of Service Agreement in which we will seek your express consent, authorization and agreement to input information related to your matter into AI applications, but only where we have taken reasonable steps to safeguard your personal, confidential, and privileged information and will not knowingly disclose such information through the use of AI technologies, to any third-parties, and have confirmed that the platform meets industry-standard confidentiality protections and is used in accordance with applicable laws, ethical rules, and professional standards.
  4. Contract

    These Terms Conditions of Use constitute a contract between the User and the Clinic, and the Clinic is entitled to rely upon and to enforce its terms.

  5. Accuracy of data

    The information, material and content posted on this Site are believed to be reliable when posted. Although best efforts are made to ensure accuracy, there is no guarantee that this information, material and content are accurate, complete or current at all times. Without limiting the generality of the foregoing, there may be typographical errors, or inaccurate or incomplete information resulting from Internet software and/or transmission problems.

  6. Report Errors

    If any errors are noticed on this Site or in the information which is accessible on this Site, you are requested to immediately advise the Clinic and the Faculty of Law at the University of Manitoba at the address set out below.

  7. Disclaimer re Third Party Sites

    This Site contains a number of links to Third Party Sites. In addition to these Terms amd Conditions of Use, your use of Third Party Sites may be subject to the terms and conditions which have been posted on or are applicable to the Third Party Sites.

    • The parties who own, maintain or control Third Party Sites are solely responsible for their content, and the Clinic assumes no responsibility for such content. Links to Third Party Sites are provided for convenience only, and are not to be construed as an endorsement or recommendation of the products, services, advice or information which may be available on them.

    • Linking to Third Party Sites is at your own risk and the Clinic is not responsible or liable for any damages in connection with linking. No endorsement or approval of any third parties, or their advice, opinions, information, products or services, is expressed or implied. The Clinic does not review or control, and is not responsible for, any information which is created or supplied by a third party.

  8. No Warranties

    All information contained on this Site is provided “as is, where is” without any warranties of any kind. The Clinic and its officers, directors, employees, and contractors make no representations and disclaim all express and implied warranties of any kind including representations, warranties or conditions regarding accuracy, timeliness, completeness, non-infringement, merchantability of fitness for a particular purpose, and assume no responsibility for the consequences of any errors or omissions.

  9. Liability

    As a User, you assume full responsibility for risk of loss or damage of any nature whatsoever arising from or in connection with use of this Site. You further agree that the Clinic and none of its officers, directors, employees, and service providers shall be liable for any loss or damage of any nature whatsoever, arising out of or in connection with the use, or the inability to use, this Site or any Third Party Site, regardless of whether the Clinic has been notified of the possibility thereof, and including any claims whether or not foreseeable based on contract, tort, strict liability or other legal or equitable theory.
